Terms of Service

These Terms of Service ("Terms") govern your use of TradeFlow ("Service", "we", "us", "our"), a job management platform operated from Australia. By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a contract under Australian law to use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use. We are not liable for any loss or damage arising from your failure to protect your credentials.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose;
  • Attempt to gain unauthorised access to any part of the Service or its underlying systems;
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service;
  • Use the Service to transmit malware, spam, or content that is defamatory, obscene, or infringes on the intellectual property rights of others;
  • Resell, sublicense, or redistribute the Service without our written consent.

4. Intellectual Property

All rights, title, and interest in and to the Service, including the software, source code, algorithms, user interface designs, graphics, logos, trademarks, trade names, data compilations, and documentation, are and remain the exclusive property of TradeFlow and its licensors. These materials are protected by Australian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You acknowledge and agree that:

  • The Service contains proprietary and confidential information that is protected by applicable intellectual property and other laws;
  • No right, title, or interest in the Service is transferred to you, other than the limited right to use the Service in accordance with these Terms;
  • You will not copy, reproduce, modify, adapt, translate, create derivative works from, distribute, sell, lease, sublicense, or otherwise exploit any part of the Service;
  • You will not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data structures of the Service;
  • You will not use automated tools, scripts, bots, scrapers, or crawlers to access, copy, or monitor any part of the Service;
  • You will not remove, alter, or obscure any copyright notice, trademark, or other proprietary rights notice on or in the Service;
  • Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or compensation to you.

The TradeFlow name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of TradeFlow or its affiliates. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

Unauthorised use of any TradeFlow intellectual property may give rise to a claim for damages and/or be a criminal offence under the Copyright Act 1968 (Cth), Trade Marks Act 1995 (Cth), and other applicable laws.

5. Your Content

You retain ownership of all data, files, and information you upload to the Service ("Your Content"), including client records, jobs, quotes, invoices, and photos. By uploading Your Content, you grant us a limited licence to host, store, process, and display it solely for the purpose of providing the Service to you.

You are solely responsible for the legality and accuracy of Your Content, including ensuring that you have the necessary consent to upload any personal information of third parties (e.g., your clients, team members, suppliers).

6. Subscription and Fees

Access to certain features may require a paid subscription. Fees are billed in advance and are non-refundable except as required by Australian Consumer Law. We reserve the right to change pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Third-Party Integrations

The Service may integrate with third-party services such as Stripe (payments), Google Maps, Resend (email), Twilio (SMS), Xero, and Google Calendar. Your use of these integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or actions of any third-party service.

8. Service Availability

We aim to provide the Service on a continuous basis but do not guarantee uninterrupted access. We may suspend the Service for maintenance, upgrades, or in response to security incidents. We are not liable for any loss arising from such suspensions.

9. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010). Where applicable, our liability for breach of a consumer guarantee is limited to either re-supplying the Service or refunding the price paid (at our option).

10. Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the amount you have paid us in the 12 months preceding the claim. We exclude all liability for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunity.

11. Indemnity

You agree to indemnify and hold us harmless from any claim, demand, loss, or damage (including reasonable legal costs) arising from: (a) your use of the Service in breach of these Terms; (b) Your Content; or (c) your breach of any third party's rights, including privacy or intellectual property rights.

12. Termination

You may cancel your account at any time from within the Service. We may suspend or terminate your account immediately if you breach these Terms or if continued provision of the Service would expose us to legal or regulatory risk. Upon termination, you may export Your Content for a period of 30 days, after which it may be deleted.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via the Service. Continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.
